Terms of Service
These Terms govern access to and use of BufferDesk (the "Service"), operated by Skiwo AS, org. no. 916 636 660, Pilestredet 17, 0164 Oslo, Norway ("Skiwo", "we", "us"). By using the Service you agree to these Terms.
1. What the Service does
BufferDesk connects the Customer's SuperOffice Service to the Customer's Visma.net ERP. When a user presses a BufferDesk button on a SuperOffice request, the request is sent to the Service, which reads the purchase order in it with AI assistance, matches the buyer and the lines against the Customer's Visma.net customers and items, and — when the share of matched lines reaches the Customer's threshold — writes a sales order with status Hold into the Customer's Visma.net company. Otherwise nothing is written and the Customer's order address receives an email.
The Service never releases an order. The Customer's staff review and release every order in Visma.net and remain responsible for the orders they release.
2. Who may use the Service
The Service is for businesses. The Customer is the organisation that subscribes to it. Authorised users are the Customer's administrators, who sign in to BufferDesk, and the Customer's SuperOffice users, who use it from inside SuperOffice. The Customer must run SuperOffice Service and Visma.net ERP and approve the Service in each Visma.net company it should write to.
3. Access
- Administrators sign in with a one-time code sent by email. You are responsible for the email account the code is sent to and for activity under your access.
- The scripts and the web panel in SuperOffice carry access tokens issued for the Customer. The Customer keeps them inside its SuperOffice and tells us at once if one may have leaked, so we can replace it.
- Tell us without undue delay if you suspect unauthorised access.
4. Acceptable use
Use the Service only for lawful handling of the Customer's own purchase orders. Do not try to reach data belonging to another customer, interfere with the Service's security or availability, upload malicious files, or use the Service against applicable sanctions or export controls.
5. Customer responsibilities
- Reviewing and releasing orders in Visma.net, and the threshold at which the Service writes an order.
- The settings between SuperOffice and Visma.net, including which Visma.net company each of the Customer's companies writes to.
- Informing the people who send purchase orders that their orders are processed by a service provider on the Customer's behalf, where the law requires it.
6. Data protection
The Customer is the data controller for the purchase orders, requests and Visma.net data processed through the Service; Skiwo processes them as data processor under our Data Processing Agreement. Skiwo is controller for administrator accounts, logs and billing, as described in our Privacy Policy.
7. Confidentiality
Each party keeps the other's non-public business information confidential and uses it only to perform the agreement, unless disclosure is required by law.
8. No professional advice
AI-assisted reading and matching is a productivity aid. It can be wrong. That is why every order is written on Hold, why lines that do not match are named rather than guessed, and why the Customer releases each order.
9. Intellectual property
Skiwo owns the Service, its software, design and documentation. The Customer receives a non-exclusive, non-transferable right to use it during the agreement. The Customer keeps all rights in its own data: requests, orders, attachments and Visma.net data.
10. Availability and changes
The Service is provided on a best-effort basis; uninterrupted availability is not guaranteed. We may improve, change or remove functionality and suspend access temporarily for maintenance, security or legal reasons. Material changes are notified to Customer administrators by email.
11. Fees
Fees are the plan prices on the pricing page, excluding VAT, invoiced monthly, unless agreed otherwise in writing.
12. Suspension and termination
We may restrict access where needed to protect security or personal data, investigate misuse, comply with the law, or after non-payment following reasonable notice. Either party may terminate on one month's written notice unless a longer commitment has been agreed. Confidentiality, data protection and accrued fees survive termination.
13. Disclaimer and limitation of liability
The Service is provided "as is". To the extent permitted by law, Skiwo is not liable for indirect or consequential loss, including lost profit, and Skiwo's total liability is limited to the fees paid in the twelve months before the event giving rise to the claim. Skiwo is not responsible for orders the Customer releases. Nothing limits liability that cannot be limited under Norwegian law.
14. Governing law
These Terms are governed by Norwegian law, with Oslo District Court as exclusive venue unless mandatory law provides otherwise.
